Background:

A venture capital investor specializing in investments targeted at high- growth consumer internet companies was seeking to acquire a majority stake in a major Russian white goods e-commerce player.

Challenge: The client needed to validate the target company’s investment thesis in the context of the commercial environment of the business, perform financial and legal due diligence to ensure consistency with the operating/forecast model, take part in term sheet negotiations, and create post-acquisition business development strategy. Conducted a fully comprehensive analysis of key business aspects, including unit economics, marketing strategy, product assortment, and logistics, which was used to identify potential risk and growth areas Oversaw financial and legal due diligence of the target company that uncovered some accounting and tax risks, which had to be mitigated Provided recommendations with regards to the valuation of the target company, risks (and potential mitigants) associated with the business, and post-acquisition revenue growth and cost reduction initiatives and implementation roadmap Took an active role in term sheet negotiations, including advising on the structure of the transaction and acquisition terms

Outcome:

The venture capital investor completed the acquisition of a majority stake. The client was delighted with the extent of the analysis carried out and the quality of recommendations. The proposals significantly reduced the risk associated with the transaction, improved the terms for the client, and exposed several unexplored growth opportunities.
