The Voice of Workers in Corporate Governance Board. The case of Renault-Nissan. The Arcelor Model. Jean-Marc Le Duc  Introduction : the trees should not hide the forest… The issue of the governance and accountability of corporations has recently come to the fore following a wave of corporate scandals and collapses. Corporate governance is about the accountability mechanisms that govern the relations among shareholders, the board of directors, senior management, the workers and other stakeholders (creditors, suppliers, local communities, etc.). Enron, Worldcom, Vivendi or Parmalat, among others, all have in common failures in assuring the integrity of those accountability mechanisms. These crises have revised the international aspect of corporate governance, as have the recent waves of cross-border mergers and acquisitions where companies can "choose" which system of national law their governance is regulated by. However such failures in the capitalistic development are “ the trees hiding the forest “.The issue is the day to day life of large multinational corporation profits of which are used without any control. That issue is corporate social responsibility.      The role of the modern corporation is pivotal to the public debate about globalization and sustainable development. Until recently much of that debate has focused on the external impact of corporate behavior, for example on labor standards generally, or on the environment. By contrast insufficient attention has been paid to the internal governance mechanisms of corporations. Trade unions have a key role to play in the global and national agendas of corporate governance reform. Within a labor perspective, corporate governance is one aspect, among others which also include, collective bargaining, ensuring corporate compliance with domestic, regional and international laws and agreements, and wider stakeholder dialogue . The role of Trade unions. The French case. In this paper we will discuss the role of Trade Unions, building on my previous experience as a local leader (in a French subsidiary of Nederland Philips group) and national officer of the metalworker federation of one of the major French trade union (CFDT) and on the actions of Pierre Alanche and Jean Lapeyre. The three of us have spent several years in large multinational corporations before acting as national officers in the same trade union. Moreover, Pierre Alanche was for 7 years a member of the Board of Renault and Jean Lapeyre, as a deputy general secretary of European Trade Union, was for two years member of the board of ARCELOR. Trade unions are campaigning for the implementation of an effective national and international framework of rules and standards to ensure good corporate governance and accountability and wider market integrity, along with regulatory systems to ensure effective
