CHARTER of the AUDIT COMMITTEE of the BOARD OF DIRECTORS of TRIAD HOSPITALS, INC. (as amended through November 9, 2005) I. PURPOSE The “Committee” is a committee of the Triad Hospitals, Inc. Board of Directors. Its function is to assist the Board of Directors in fulfilling its oversight responsibilities by (i) monitoring the integrity of financial information that will be provided to the shareholders and others; (ii) reviewing the Company’s compliance with legal and regulatory requirements; (iii) reviewing areas of potential significant financial risk to the Company including evaluation of the system of internal controls which management and the Board of Directors has established; (iv) evaluating the independent auditor’s qualifications and independence; (v) monitoring the performance of the Company’s internal auditing function and the independent auditors as well as any other public accounting firm engaged to perform other audit, review or attest services; (vi) reporting regularly on all such matters to the Board of Directors; and (vii) annually preparing a report to the shareholders as required by the United States Securities and Exchange Commission (the “SEC”). The report should be signed by the chair of the Committee and included in the Company’s annual proxy statement. II. MEMBERSHIP & MEETINGS A.
