BETWEEN: (1) ……………………………………………………………………………….........(registered number ……………….) whose registered office/principal place of business is at ……………………..; (theRecipient) and (2)OLYMPIC PARK LEGACY COMPANY LIMITED(registered number 06900359) whose registered office is at 29-35 West Ham Lane, Stratford, London, E15 4PH; (Company) BACKGROUND The Recipient has expressed an interest in being a concessionaire at the London Olympic Stadium (theStadium) after the 2012 Olympic and Paralympics Games (the2012 Games) (theProposed ConcessionCompany has agreed to supply to the Recipient certain information on the terms). The and conditions set out in this agreement to allow the Recipient to assess whether to bid for the Proposed Transaction. IT IS AGREED: 1. Inthis agreement,Informationmeans all information of whatever nature relating to the Company, the Stadium, the 2012 Games, the Olympic Park, the Company's dealings with the Recipient and/or any third parties in connection with the Proposed Concession (including, without limitation, any business, prices, financial, marketing, development or manpower plans, ideas, technical information, proposals, business methods or finance) supplied to the Recipient or its advisers by or on behalf of the Company in writing, orally or otherwise and includes any information obtained by the Recipient, in writing or orally, through discussions with the management, employees and advisers of the Company, together with any reports, analyses, compilations, studies or other documents prepared by the Company or on its behalf which contain or otherwise reflect such information. Information will not include any such information which: (a) ispublically available other than as a result of: (i) abreach of the obligations imposed by this letter by the Recipient (or by any person to whom disclosure of information is made as permitted under this letter); or (ii) abreach by the Recipient (or any other such person) of any other duty of confidentiality relating to that information; or (b) isindependently developed by the Recipient without use of any Information; (c) theCompany has agreed in writing may be disclosed; (d) inconnection with any legal or arbitration proceedings; (e) ifrequired to do so under any law or regulation; or (f) toa governmental, banking, taxation, other regulatory authority or governing body of the Recipient's business.

Inthis agreement: (a) referencesto a person include an individual, a firm, a body corporate, a partnership, a government and an unincorporated association of persons; and (b) referencesto a party to this agreement include references to the successors or assigns (immediate or otherwise) of that party. 3. Inconsideration of the Company agreeing to supply Information to the Recipient, the Recipient acknowledges that the Information is confidential and is received by the Recipient under a duty of confidentiality owed to the Company and for the exclusive purpose of evaluating its bid for the Proposed Concession.. 4. TheRecipient undertakes with the Company that the Recipient : (a) willkeep confidential at all times and not disclose to any person, other than as permitted under subclause 4(d), its interest in, and its discussions and negotiations with, the Company in connection with the Proposed Concession;
(b) willkeep all Information confidential and in a secure place (taking all reasonable security precautions in the safekeeping of the Information) and not disclose any Information to any person, other than as permitted under subclause 4(d); (c) willuse Information solely for the purpose of evaluating and negotiating the Proposed Concession and not for any other purpose; (d) willnot, without the Company's prior written consent, disclose any Information to any person other than those of its senior executives and those members of its professional advisers who, in each case, need to know the Information for the purpose of evaluating, negotiating or advising on the Proposed Concession; (e) willprocure that each person to whom disclosure of Information is made as permitted under subclause 4(d) is made aware (in advance of disclosure) of the terms of this agreement and will use its best endeavours to procure that each such person adheres to those terms as if that person were a party to this agreement; (f) will,if it ceases to be interested in the Proposed Concession, and in any event on written request by the Company, promptly return, erase or destroy (as appropriate) all Information without keeping any copies and hand over to the Company all notes (and any copies) prepared by it (and by any person to whom disclosure has been made as permitted under clause 4(d)) relating to any of the Information or the negotiations or discussions about the Proposed Concession; and (g) willpromptly notify the Company in writing if any Information is required to be disclosed by law or other regulation and co-operate with the Company regarding the timing and content of such disclosure or any action which the Company may reasonably elect to take to challenge the validity of such requirement and take all permissible steps to avoid or limit the disclosure. 5. TheRecipient further acknowledges and confirms to the Company that: (a) duringmeetings and negotiations the Recipient may be exposed to information relating to other parties' proposals which would be Information if it belonged to the Company and the Recipient agrees that it will not use any such Information belonging

to any other parties in any way whether in relation to the Proposed Concession or otherwise and will apply the same standards of confidentiality as if it constituted such Information;
(b) norepresentation or warranty, express or implied, is or will be made, and no responsibility or liability is or will be accepted by the Company, or by any of its respective directors, officers, employees, agents or advisers, as to, or in relation to, the accuracy or completeness of any Information made available to the Recipient or its advisers; the Recipient is responsible for making its own evaluation of such Information; (c) theRecipient's obligations under this agreement will survive for a period of two years after the termination of any discussions or negotiations between the Company and the Recipient regarding the Proposed Concession except that obligations in respect of any personal data (as defined in the Data Protection Act 1998) will continue indefinitely; (d) remediesat law may be inadequate to protect against a breach of this letter and the Recipient agrees in advance, in the event of any such breach on its part, not to oppose the granting of injunctive relief, specific performance or other equitable relief in favour of the Company without proof of actual damages; (e) nothingcontained in this agreement will be construed as prohibiting the Company from pursuing any other remedies available to it;
(f) therights of each party under this agreement: (i) maybe exercised as often as necessary; (ii) arecumulative and not exclusive of rights or remedies provided by law; and (iii) maybe waived only in writing. (g) itis not permitted to contact any part of the media or to publish or allow to be published any information relating to the existence of this Agreement, the relationship between the Company and the Recipient concerning the Information or the Proposed Concession without the Company's prior written consent. 6. Thisagreement is governed by the laws of England and Wales. THIS AGREEMENThas been signed on behalf of the parties by their duly authorised representatives on the date which appears first on page 1.
