 SECTION I: INTRODUCTION  A. Background  Fresno County is the local grant recipient for Workforce Investment Act (WIA) grant funds allocated to the Local Workforce Investment Area. Fresno Area Workforce Investment Corporation (FAWIC) is designated by Fresno County as the local grant sub-recipient for WIA funds for the purpose of assisting in the administration of the WIA grant funds and acting as staff to the Fresno County Workforce Investment Board (FCWIB), a Fresno County appointed policy and oversight body for WIA funds. Most of the funds are contracted to other organizations to provide employment and training services to job seekers and employers in Fresno County with the remaining funds being used for operational expenses of the FAWIC.  B. Goal of the Workforce Investment Act  The goal of the WIA is to provide workforce investment activities, through statewide and local workforce investment systems, that increase the employment, retention, earnings, and occupational skill attainment of participants, thereby improving the quality of the workforce, reducing welfare dependency, and enhancing the productivity and competitiveness of the nation.  C. Purpose of the Request for Quote   The FAWIC is soliciting quotes in an amount not to exceed $20,000 for furnishing audit services in accordance with:  1. The Single Audit Act of 1984 (P.L. 98-502). 2. Applicable auditing standards set forth in Government Auditing Standards issued by the Comptroller General of the United States and Statements on Auditing Standards published by the American Institute of Certified Public Accountants. 3. The Workforce Investment Act. 4. Audits of States, Local Governments, and Non-Profit Institutions (OMB Circular A-133) 5. Instructions for Quotes (page 10) 6. Other Contractual Considerations (page 12) 7. Schedule of Funds (Attachment A)  D. Deadline for Submission of Quotes  In order to be considered for funding, the original Quote, five (5) complete paper copies, and one (1) electronic copy in Microsoft Word format  must be received in the FAWIC administrative office no later than 4:00 p.m., August 30, 2004. Quotes must be submitted in a sealed envelope labeled with the name of your firm and the proposed activity on the outside. Quotes not in a sealed envelope will be rejected.

 The original Quote must be marked as Original and must bear the actual wet signature(s) of the person(s) authorized to sign the Quote.  Persons who hand-deliver Quotes will be issued a Notice of Receipt of Quote. All Quotes submitted will be marked with a time and date stamp. Timely submission of Quotes is the sole responsibility of the bidder.  Late Quotes will not be considered for contract award. The FAWIC reserves the right to determine the timeliness of all Quote submissions.  Each page of the Quote must be numbered sequentially at the bottom of the page. These page numbers will then be inserted into your Table of Contents (Quote Checklist).  E. Technical Assistance  Requests for technical assistance may be made in writing only, either by post, fax at (559) 490-7103, or preferably by e-mail to auditrfq@workforce-connection.com.  F. Quote Review and Rating Process  Quotes will be evaluated based on the following criteria:  1. Qualifying Criteria - Bidders will not be considered unless they meet each of the following criteria:  a. Must be a Certified Public Accountant, properly licensed; b. Must meet the independence standards of Government Auditing Standards; c. Must not have a record of substandard work; d. During the term of the audit, must pay and maintain errors and omissions insurance of not less than $500,000.  2. Technical Criteria - Those bidders who have met each of the criteria above will be evaluated on the following:  a. Responsiveness of the Quote in clearly stating an understanding of the work to be performed; b. Technical experience of the firm; c. Qualifications of staff assigned to the audit, including consultants; d. Small business as defined in the RFQ; e. Minority owned audit firm.  3. Cost of the audit.  A copy of the rating score sheet has been provided for your review in Attachment C.  In the event there is a tie between two or more bidders and at least one of the bidders is a local business, the contract will be awarded to the local business. A

 local business is defined as a business that has a physical location in Fresno County.  Funding recommendations will be presented for consideration to the FAWIC Director. The FAWIC Director will make all final funding decisions.  G. Appeals Process  If a firm has submitted a Quote and is not recommended for funding during the review process, the firm may appeal the recommendation to the FAWIC. Appeals may not dispute the particular score received by the petitioning firm, or the scores assigned to a competing firm. The scores given by the rating panel are final and not subject to question by an appealing firm. An appealing firm may appeal the recommendation of the evaluators if it can show that any substantial portion of the FAWIC-approved RFQ process has not been followed.  Any appeal must be submitted in writing to the FAWIC within five (5) working days of the notification of refusal. All appeals are to be addressed to Blake Konczal, Director. Only appeals which cite the specific section(s) of the RFQ that have been violated will be considered. Appeals received after the established timeframe will not be accepted.  The decision made by the FAWIC Director as to which Quote(s) are funded will be final.  H. Period of Audit  The period of the audit is from July 1, 2003, to June 30, 2004. The audit must begin by October 1, 2004. A draft audit report must be received no later than January 15, 2005. The final audit report must be completed by February 15, 2005. FAWIC will require approximately 50 copies of the final audit report.  I. Contract Term  The initial term of the Audit Service Agreement will be one (1) year, with an option to extend the agreement on an annual basis for no more than two (2) additional years.  J. Official Signature  An appropriate official, who has contract-binding authority, must sign the Authorization Page (page 15) and certify that all information in their Quote is accurate and complete. Unsigned quotes will not be considered.   By signing this Quote, the bidder agrees to all terms, conditions, and instructions of this RFQ and certifies that prices stated in their Quote shall remain firm for sixty (60) days from the closing date of this RFQ. This statement must be in the submitted document at time of delivery.  FAWIC

 K. General Quote Conditions  The Quote submitted in response to this solicitation is not a legally binding document; however, the contract, which is based on the Quote after negotiation, becomes legally binding once both parties have signed it. The FAWIC has the right to reject Quotes that do not conform to the RFQ requirements. All Quotes submitted become the exclusive property of the FAWIC.  L. Costs Incurred by Bidders  All costs of Quote preparation shall be borne by the bidder. The FAWIC shall not, in any event, be liable for any pre-contractual expenses incurred by bidders in the preparation and/or submission of the Quotes. Quotes shall not include any such expenses as part of the proposed budget.  M. Accuracy and Completeness  The Quote must set forth accurate and complete information as required in this RFQ. Unclear, incomplete, and/or inaccurate documentation may not be considered for contract award. Falsification of any information may result in disqualification.  N. Withdrawal of Quotes  Quotes may be withdrawn by written request of the authorized signatory on the bidders letterhead at any time prior to the scheduled deadline for receipt of quotes.  O. Assurance and Certifications  All bidders must read and sign the Assurance and Certifications, (page 18).   Bidders who fail to sign and return the Assurance and Certifications with their proposal will automatically be eliminated from further consideration.  P. General Reservations  1. The FAWIC reserves the right to extend the submission deadline, if such action is in the best interest of the FAWIC. In the event the deadline is extended, bidders have the right to revise their Quotes.  2. The FAWIC makes no representation that any contract will be awarded to any offer responding to this RFQ.  3. The FAWIC reserves the right to request additional information or documentation.  4. The FAWIC reserves the right to conduct a background inquiry of each audit firm submitting a Quote. This may include, but not be limited to, an inquiry of contractual and business associations and practices, employment histories and reputation in the business community. Such inquiry may not necessarily be FAWIC Page 8 of 23. 7/30/2004                        
 
limited to interviewing those references given by the audit firms. By submitting a Quote to the FAWIC under this RFQ process, the audit firm consents to such an inquiry and agrees to cooperate with the FAWIC in any follow-up investigation that the FAWIC may have with the firm.  5. Quotes shall be reviewed and rated as submitted. The bidder may make no changes or additions after the deadline for receipt of Quotes.  6. The FAWIC reserves the right to verify all information in the Quote. If the information cannot be verified, and if the errors are not willful, the FAWIC reserves the right to reduce the rating points awarded.  7. Failed Competition: The FAWIC reserves the right to reject any or all Quotes when they are not responsive to the specifications of this RFQ. Competitive negotiation requires that at least two (2) responsive Quotes for the same scope of work must be received in response to the RFQ. A competition is considered failed if only one (1) responsive Quote is received. If a competition has been declared failed, the FAWIC then has the option to re-compete the procurement or enter into sole source procurement.  8. Bidders approved for funding shall be required to negotiate a contract with the FAWIC. The contract offer of the FAWIC may contain additional terms or terms different from those set forth in this RFQ.  9. The FAWIC reserves the right to request that any or all audit firms provide clarifications to their Quotes or answer additional questions raised by their Quotes.  10. The FAWIC reserves the right to select the audit firm that it believes will provide the most cost effective services that are in the FAWICs best interest.  11. The FAWIC reserves the right to reject any and all quotes, to negotiate further with any proposing audit firm(s), or for more favorable terms than proposed by such firm, and to waive any defects or deficiencies in such Quotes.   P. Standing of Bidder  Regardless of the merits of a submitted Quote, a bidder may not be recommended for funding if it has a history of contract non-compliance with the FAWIC or any other funding source, or  poor past or current contract performance with the FAWIC or any other funding source.  The FAWIC will not enter into an agreement with any entity not in good standing with the California Secretary of State.

 SECTION II: Scope of Services  A. Instructions for Quotes   The following outline should be used as a general guideline for the Quote.  1. Title Page  Show the Request for Quote (RFQ) subject, the name of the bidder's firm, local address, telephone number, name of the contact person, and the date.  2. Table of Contents           Include a clear identification of the material by section and by page number.  3. Letter of Transmittal - limit to one or two pages  a. Briefly state the bidder's understanding of the work to be done and make a positive commitment to perform the work within the time period; b. State the all-inclusive fee for which the work will be done; c. State the names of the persons who will be authorized to make representations for the bidder, their titles, addresses, e-mail addresses and telephone numbers; d. State that the person signing the letter will be authorized to bind the bidder.  4. Profile of the bidder  a. State whether the firm is local, regional, national or international; b. State whether the firm is a small business and/or minority owned audit firm and why it qualifies for these classifications. A small business is defined as a business with less than $6 million in annual gross receipts; c. State the location of the office from which the work is to be done and the number of partners, managers, supervisors, seniors, and other professional staff employed at that office.  5. Qualifying Criteria  Failure to provide all of the following information will disqualify the quote.  a. Affirm that the bidder is a properly licensed Certified Public Accountant and include the license number for the owner or partner responsible for the audit; b. Affirm that the bidder meets the independence standards of the Government Auditing Standards; c. Affirm that the audit will be conducted in accordance with the Workforce Investment Act, the Single Audit Act of 1984 (P.L. 98-502), and Audits of States, Local Governments, and Non-Profit Institutions (OMB Circular A-133); d. Affirm that the bidder does not have a record of substandard work and submit a copy of your most recent peer review; e. Specify that the working papers will be retained for at least three (3) yrs. f. Specify that the working papers will be available for examination by authorized representatives of the EDD/Audit Division, federal audit agency, County of Fresno, and FAWIC.  6. Summary of the Bidder's Qualifications  a. Identify the supervisors who will work on the audit, including staff from other than the local office. Resumes, including relevant experience and continuing education for each supervisory person to be assigned to the audit, should be included; b. Describe recent local and regional office auditing experiences similar to the type of audit requested. Give references for three of the audits listed. Include the telephone number and name of the person responsible for the client's audit.  7. Bidder's Approach to the Examination - Submit a work plan to accomplish the scope of the audit. The estimated amount of funds to be audited is listed in the attached Schedule of Funds. The work plan should state the following:  a. The start and completion dates of the audit; b. The estimated hours of each staff level to be assigned to each area of the audit. The planned use of specialists should be specified; c. That a detailed list of schedules and documentation required by the Contractor will be submitted to FAWIC no later than two weeks prior to the start of fieldwork; d. Other appropriate information.  8. Compensation  Complete the Audit Services Budget in Attachment B. State the total hours and hourly rate by staff classification, any other costs and the resulting all inclusive -maximum fee for which the requested work will be done.  9. Additional Data  Since the preceding sections are to contain only data that is specifically requested, any additional information considered essential to the Quote should be included in this section. The bidder's general information publications, such as directories or client lists, should not be included unless specifically requested. If there is no additional information to present, state "There is no additional information we wish to present " .  Failure to adequately present the above information may adversely affect the evaluation of your Quote.
