Introduction
Asfrom1January2005mostlistedcompaniesinEuropehaveadoptedInternational FinancialReportingStandards(IFRS).However,thetransitiontoandreporting underIFRScontinuestobeachallengefortheLifeSciencessectortoaddr ess.This isspecicallytruebecauseatthismoment,early2007,thewindowforInitialPublic OfferingsofLifeSciencescompaniesseemstohaveopenedupagainandasaresult severalcompaniesarecurrentlypreparingthemselvesforsuchanIPO,includingthe necessarytransitiontoIFRS.
ThetransitiontoIFRSismorethanjustanaccountingissue.IFRScoverseverything frommergersandacquisitionstoleasing,revenuerecognition,andaccountingfor employeebenets.Itrequiressubstantialchanges,includingnewaccountingpolicies, andmoredisclosurethanbefore.TransitiontoIFRSwillinmostcasesimpactthereported protabilityofthebusinessesthemselves,butwillalsoinuencecontractnegotiationsand otheroperationalmatters.
LifeSciencescompaniesarenoexception.IFRSsubstantiallyinuencesthissector,not onlyintermsofpracticaltransitionalissues,butalsoinrespecttoreportableearnings,net assetvalue,thelevelofgearing,andreturnoncapitalemployed.
InthisIFRSbenchmarkstudywehaveanalysedthenancialstatementsof20European LifeSciencescompaniesthathavepreparedtheirnancialstatementsfor2005in accordancewithIFRS(anoverviewofthecompaniesisincludedinappendixA).Ofthe20 companiesanalysed,13companieswererst-timeadoptersofIFRSasfrom1January 2005;2companiesarebasedintheUKandtheother18ontheEuropeanmainland (Switzerland,Sweden,TheNetherlands,Belgium,GermanyandFrance).Whenwer companiesinthisstudy,wemeantheirnancialstatements.
WehavesummarisedtheimpactofthetransitiontoIFRSandconsideredthetakeup bycompaniesoftheexemptionsthatwereavailabletothemunderIFRS1Firsttime adoptionofInternationalAccountingStandards.NextweassessedtheimpactIFRS hasonthenancialreportingofLifeSciencescompaniesbyperformingabenchmark ofcertainkeyaccountingtopicsforcompaniesinthesector.Whereapplicable,we havealsoincludedobservationsfromasurveyinwhichPricewaterhouseCoopersin theUKanalysedtherstIFRSnancialstatementsof25companiesinthetechMARK mediscienceindex.ThendingsfromtheUKanalysiswerepublishedinJanuary2007in thepublicationIFRSanditsimpactonFinancialReportingfortheLifeSciencesSector.
