Katz, Secretary Re: Releases Nos. 33-8419; 34-49644 (File No. S7-21-04) Ladies and Gentlemen: We submit this letter in response to the request for comments made by the Securities and Exchange Commission (the “Commission”) in Release Nos. 33-8419, 34-49644 dated May 3, 2004 (the “Proposing Release”) relating to the registration, disclosure and reporting requirements for asset-backed securities under the Securities Act of 1933 and the Securities Exchange Act of 1934. 1Specific Comments Regarding the Proposals. I. Servicers A. Disclosure Issues 1. General In Section III.B.3.d. of the Proposing Release, the Commission’s proposal would require disclosure of “information regarding the entire servicing function, including a clear description of the roles, responsibilities and oversight requirements of the entire servicing process and the parties involved.” This would include detailed information relating to sub-servicers, and, where multiple servicers are used with respect to a single asset pool, information relating to each unaffiliated servicer that services 10% or more of the pool assets. Furthermore, the Commission’s proposal would require the disclosure of information with respect to any “special servicer”, i.e. a servicer that fulfilled a function material ...
